The Algiers Stock Exchange Commission (COSOB) has granted its visa for the information memorandum regarding the 25% capital increase of AYRADE SPA through a public offering, according to a statement issued by the commission this Sunday.
The same source explained that the decision was taken during the committee's meeting held on April 15. The operation involves the issuance of 1,250,000 new shares for subscription, which will be listed in the 'Growth Segment' of the equity market.
The issuance price per share has been set at 800 Algerian Dinars, representing a total value for the operation estimated at one billion Algerian Dinars, with the effective date for the shares' entitlement set for January 1, 2026.
The statement added that the shares will be in the form of book-entry registered securities, recorded in accounts held by account keepers and securities custodians.
Regarding the offer distribution, 50% of the shares (625,000 shares) have been allocated to resident natural persons, and 0.5% (6,250 shares) to the company's employees. Meanwhile, the remaining 49.5% (618,750 shares) are assigned to legal entities under Algerian law.
The statement indicated that the endorsed information memorandum and the issuance prospectus will be available to investors at the company's headquarters and through the brokerage firms (IOB) in charge of the placement. Furthermore, they will be published on the official websites of the Algiers Stock Exchange Commission (COSOB) and the Algiers Stock Exchange (SGBV).
It is noteworthy that 'AYRADE SPA', established in 2009, operates in the field of information technology and software engineering, as well as the development of digital solutions and services. Its social capital stands at 25 million Algerian Dinars, divided into 5 million shares.
